Acquisitions

Utilise our team of highly experienced M&A professionals to plan and execute your acquisition strategy

Company acquisitions are a common and important strategy for businesses to grow, diversify, or consolidate their market position. The UK has seen over 103,000 M&A deals since 1985, with a value of £5,688 billion.

An acquisition occurs when one company buys most or all of another company's shares or assets. By doing so, the acquiring company gains control of the target company and can benefit from its strengths and synergies.

However, acquisitions are not simple transactions. They involve complex negotiations, due diligence, valuation, financing, and integration processes. Moreover, acquisitions can face regulatory, legal, cultural, and operational challenges that may affect their success.

The Acquisitions Process

- Let's Explore How it Works

The process of buying a company or business in the context of mergers and acquisitions (M&A) involves several stages that require careful planning and execution. Here are the main steps where an acquirer should utilise Grosvenor Corporate's expertise to ensure a successful acquisition and integration process:

- Creating an acquisitions strategy

The client should have a clear vision of why they want to acquire an additional business, what the budget and means of payment are, what they expect to gain from the deal, and who are their potential targets. The acquirer should also consider the timing, structure, and value of the potential deal.  Planning is key in order to achieve additional value in the deal, Grosvenor Corporate will guide the client through these stages and provide assistance.

- Building a database of targets

The client should work with Grosvenor to thoroughly research and identify potential sellers who may match their acquisition strategy, such as industry, size, location, financial performance,  potential, anticipated purchase price. The team will also assess the compatibility and synergies between the client business and the target company.

- Deciding the criteria to evaluate target companies

The seller, along with Grosvenor will narrow down their list of target companies based upon more detailed information, such as financial performance, strategic fit, cultural fit, and reputation. The buyer should also rank the targeted acquisitions according to their attractiveness, feasibility, and deal completion probability.

- Making initial contact with targets

On behalf of the acquirer Grosvenor Corporate will approach the selected acquisition targets highlighting the proposal of the client to acquire the business. Grosvenor will ensure that all parties enter into a legally binding non-disclosure agreement (NDA) to protect the client and their confidential information.

- Liaison with potential Sellers

On behalf of the client the Grosvenor team will provide more detailed information to potential sellers who express interest in the deal.  Grosvenor will also request detailed information regarding the target business such as historical and projected financial statements, business plans, customer and sales information, and existing contracts. Grosvenor will on behalf of the client also respond to any questions or requests from the target sellers and negotiate the key terms of the deal, such as price, payment structure, and closing conditions.

- Negotiating acquisition price/offer

The client,  with assistance from Grosvenor Corporate will evaluate the information provided by the seller and decide upon the preferred deal structure based upon their valuation analysis, initial due diligence findings, and strategic objectives. After completion of negotiations the acquirer will work with Grosvenor to prepare a letter of intent (LOI) or Heads of Terms that outlines the main terms and conditions of the deal and indicates their commitment to proceed with the transaction.

- Conducting due diligence

The acquirer  should, with assistance from Grosvenor Corporate and professional advisors,  conduct a thorough investigation of the identified acquisition business, covering all aspects such as financial, legal, operational, and human resources. The client will verify the accuracy and completeness of the information provided by the seller and Grosvenor will assist in resolving any issues or concerns that arise during the due diligence process.

- Finalising sale and purchase contracts

The client  assisted by the team at Grosvenor and legal advisors will produce, review, and sign the definitive sale and purchase agreement that formalises the deal and contains all the representations, warranties, covenants, indemnities, and closing documents. The seller should complete any pre-closing obligations and conditions insisted upon by the client and the deal will be executed, legal completion will take place and the deal will be closed.

By following these stages of a business acquisition in the M&A process, the client will work with Grosvenor Corporate to maximize their chances of achieving a successful outcome that meets their expectations and goals.
